Attached please find a subscription agreement for Nile Industries Ltd.'s ("Nile") non-brokered offering of up to
12 million common shares of Nile at a price of $0.10 per common share.

If you would like to subscribe, please complete the subscription agreement and attach a cheque payable to

The deadline for completing and returning the subscription agreement is January 9th, 2009.
Nile is scheduled to complete its qualifying transaction (as defined by the policies of the TSX Venture
Exchange). In the event the qualifying transaction is not completed, all subscription proceeds will be
retuned in full.

The SW Calgary store: approximately 8,000 sq. ft.
showroom in the Calgary designer district centre.
This store is designed to attract designers and architects as well as individual homeowners.

The SE Calgary store: approximately 5,000 sq. ft.
with a large workshop at the back of the store for upholstery and drapery manufacturing.
The main business of this store is upholstery and drapery.

 Qualifying Transaction with Tiles From The Nile:

  • The Acquisition has the unanimous support of the board of directors of both Nile and Tiles.
  • Pursuant to the Acquisition Agreement, Nile has agreed to acquire all of the issued and outstanding Tiles Shares by way of take-over bid.
  • Completion of the transaction is subject to a number of conditions, including but not limited to, Exchange acceptance and if applicable pursuant to Exchange Requirements, majority of the minority shareholder approval. There can be no assurance that the transaction will be completed as proposed or at all.
